This document is an official proposal (public offer) by the owner of the Staffly online service (the “Contractor”) to enter into a service agreement with any individual with full legal capacity or any legal entity (the “Customer”) on the terms set out below.
In accordance with the civil legislation of the Republic of Kazakhstan, payment for the services or registration in the service constitutes full and unconditional acceptance of the terms of this Agreement (acceptance of the offer).
1. Terms and definitions
- Offer means this public offer agreement.
- Acceptance means full and unconditional acceptance of the terms of the offer by registering and/or paying for the services.
- Staffly service means the online system for leave tracking and HR processes.
- Customer means a user of the service who has accepted the terms of this offer.
- Contractor means the owner and administrator of the Staffly service.
2. Subject of the agreement
2.1. The Contractor provides the Customer with access to the Staffly online service on the terms of the chosen plan, and the Customer undertakes to pay for the services in the manner and on the terms provided for by this Agreement.
2.2. The service is designed to automate HR processes, including leave tracking, calculation of leave days, employee management and report generation.
3. Conclusion of the agreement
3.1. The Agreement is deemed concluded from the moment the Customer performs any of the following actions:
- registration in the Staffly service;
- payment for any plan.
3.2. Acceptance of the offer means that the Customer has fully read and agrees to the terms of this Agreement, the Privacy Policy and other documents published on the Staffly website.
4. Plans and payment procedure
4.1. The cost of the services is determined in accordance with the plans published on the Staffly website.
4.2. The Contractor may change the plans unilaterally. Changes do not apply to periods that have already been paid for.
4.3. Payment is made on a 100% prepayment basis.
4.4. If the next period is not paid for, access to the service may be restricted or suspended.
5. Rights and obligations of the parties
5.1. The Contractor undertakes to
- provide access to the service provided the terms of the Agreement are complied with;
- take reasonable measures to ensure uninterrupted operation of the service;
- ensure the confidentiality of personal data.
5.2. The Contractor may
- change the functionality of the service;
- temporarily suspend the service for maintenance;
- block access if the terms of the Agreement are violated.
5.3. The Customer undertakes to
- provide accurate information when registering;
- keep their credentials secure on their own;
- use the service only for lawful purposes;
- not give access to third parties.
6. Liability of the parties
6.1. The Contractor is not liable for losses arising from:
- unlawful actions of the Customer;
- failures of the internet connection;
- actions of third parties;
- use of the service for purposes other than its intended purpose.
6.2. In any event, the Contractor’s liability is limited to the amount actually paid by the Customer for the last billing period.
7. Processing of personal data
7.1. The Customer consents to the processing of personal data in accordance with the Privacy Policy published on the Staffly website.
7.2. The Customer warrants that there are lawful grounds for processing the personal data of the employees added to the service.
8. Term and termination of the agreement
8.1. The Agreement enters into force upon acceptance and remains in effect indefinitely until it is terminated.
8.2. The Customer may stop using the service at any time. Amounts paid for the unused period are non-refundable.
8.3. The Contractor may terminate the agreement unilaterally if the terms of the Agreement are violated.
9. Final provisions
9.1. All disputes and disagreements shall be resolved through negotiations and, if no agreement is reached, in accordance with the legislation of the Republic of Kazakhstan.
9.2. The Contractor may amend this Agreement. The current version is always available on the Staffly website.
